These Terms of Service ("Terms") govern your access to and use of the Handoffly service ("Service"), operated by:

2. Description of Service

Handoffly is a software-as-a-service platform that enables web designers (primarily working with Webflow and Framer) to provide their clients with a controlled interface for proposing content updates and changes to websites. Designers retain approval authority over all client submissions before they are applied to live websites.

3. Merchant of Record

All paid subscriptions and purchases through the Service are processed by LemonSqueezy (operated by Lemon Squeezy LLC), which acts as the Merchant of Record and seller of record for paid plans. Your payment relationship is with LemonSqueezy, and LemonSqueezy's terms of service and privacy policy also govern your purchase. Handoffly (Mudroch.FE s. r. o.) provides the Service; LemonSqueezy handles all payment processing, billing, and payment-related customer support.

4. Account Registration and Responsibilities

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate. You are responsible for:

• Maintaining the confidentiality of your account credentials;
• All activities that occur under your account;
• Notifying us immediately of any unauthorized use or security breach.

You may not share your account credentials with others or use another person's account without permission.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
• Interfere with or disrupt the integrity or performance of the Service;
• Attempt to gain unauthorized access to the Service or its related systems or networks;
• Use automated means (including bots, scrapers, or similar tools) to access the Service without our express written permission;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Use the Service to transmit spam, chain letters, or other unsolicited communications.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

6. Subscription Terms

Certain features of the Service may be offered on a subscription basis ("Subscription"). Subscriptions are managed and billed by LemonSqueezy as the Merchant of Record.

• Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date.
• Cancellation: You may cancel your Subscription at any time through your account settings or by contacting LemonSqueezy support. Cancellation will be effective at the end of the current billing period. No refunds or pro-rated credits will be provided for partial billing periods, except as required by law or as outlined in our Refund Policy.
• Price Changes: We may change subscription pricing with at least 30 days' advance notice. Price changes apply to renewals after the notice period. If you do not accept a price increase, you may cancel your Subscription before it renews.

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content provided by Handoffly, is owned by Mudroch.FE s. r. o. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain ownership of any content you submit through the Service (including project content and client submissions). By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, and process such content solely for the purpose of operating and improving the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUDROCH.FE S. R. O. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mudroch.FE s. r. o. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service;
• Your violation of these Terms;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any content you submit or transmit through the Service.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes to our practices or for other operational, legal, or regulatory reasons. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date, or by sending you an email notification if you have an account with us.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, in our sole discretion. You may terminate your account at any time by canceling your Subscription (if applicable) and ceasing to use the Service.

Upon termination, your right to access and use the Service will immediately cease. We may delete your account and associated data after termination, subject to applicable data retention obligations.

13. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of the Slovak Republic, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Mudroch.FE s. r. o. regarding the Service and supersede all prior or contemporaneous understandings or agreements, written or oral, regarding the Service.
